About company
All schools under Wellington (China) aim to achieve sustainable development and strong internal management capabilities. Each school is completely independent in law and finance, and has established a school affairs council (referred to as the school council). The schools under Wellington (China) operate under a clear and common management framework; therefore, at this level, the schools are not separate individuals but symbiotic groups. Many aspects of school governance have implemented unified standards and policies. In addition to the work objectives of their functions, the senior leadership of the group also has common work objectives and cultivates a talent pool for the entire organization. The group office is a shared resource for all schools. The Wellington (China) Executive Council was established to make group-level strategic decisions and manage group offices. The executive board is composed of six members from each school council.
The Wellington School and Huili School’s councils currently have 15 members, collectively referred to as Wellington (China) councils.
The council members of Wellington School are jointly appointed by Wellington (China) and Wellington International, and the council members of Huili School are only appointed by Wellington (China). The principal of each school is an ex officio director of its school council and Wellington (China), without voting rights.
Wellington (China) convenes the full council once a year:
Evaluate the effectiveness of group governance and propose improvement plans
Sharing group-level information and long-term development strategies
Carry out relevant training and development
The group council has three full-time directors: the chairman, chief executive officer and director of international affairs. The chairman and chief executive officer concurrently serve as the council of all Wellington schools and Huili schools, while the director of international affairs serves as the council of all Wellington schools. All other directors are non-executive directors, serving as a board of directors of the school council. The board of paid full-time directors and unpaid non-executive directors formed a balance. Full-time directors have an in-depth and comprehensive understanding of the group and are responsible for most of the governance and administrative work, while non-executive directors provide professional guidance in various fields and ensure the openness and transparency of group governance.
